Welcome to PromptSpider. PromptSpider is a platform created to search for contents, such as Model Context Protocols, Models, Workflows and Prompts, hosted on other websites (“Third Party Contents”).

These Terms of Use (these “Terms”) set forth the legally binding terms and conditions that govern your use of the website at the “Site” . These Terms form an agreement between you and Modix Pte Ltd (a company incorporated in Singapore with UEN No. 202232906Z and registered address at 7 Temasek Boulevard, #12-07, Suntec Tower One, Singapore 038987) (“Modix”, “we”, “our”, or “us”, as the case may be).

Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms. These Terms also refer to the following additional terms, which also apply to your use of our site:

By accessing or using the Site, you confirm that you accept these Terms (on behalf of yourself or the entity that you represent) and that you agree to comply with them.

ACCESS TO THE SITE
1. License Grant. Subject to your strict compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Site solely for the purpose of conducting legitimate business with us. All rights not expressly granted are reserved by us.
2. Eligibility. You must be at least 21 years old and have the legal capacity to enter into these Terms. By accessing or using the Site, you represent and warrant that you meet these requirements

USER OBLIGATIONS AND RESTRICTIONS
1. Prohibited Conduct. You agree that you will not, directly or indirectly:

  6. Send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise
  7. Conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of):
    1. Use any robot, spider, scraper, crawler, or other automated means to access, obtain, copy, monitor or republish any portion of our Site or any data, content, information or services accessed via the same;
    2. Conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site for any purpose, including the development, training, fine-tuning or validation of AI systems or models.
  8. Interfere with, disrupt, or create an undue burden on servers or networks connected to the Site, or violate the regulations, policies or procedures of such networks;
  9. Circumvent, disable, or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any content.
  10. Attempt to gain unauthorised access to any portion or feature of the Site, or any other systems or networks connected to the Site, by hacking, password “mining” or any other illegitimate means.
  11. Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site.
  12. Use the Site to harvest or collect information about other users without their express consent and in compliance with applicable law.
2. User-Generated Content. If you submit, upload, or otherwise make available any content, data, or materials (“User Content”) on or through the Site, you:
  1. Grant Modix a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the operation and promotion of the Site and our business;
  2. Represent and warrant that you have all necessary rights, licences, consents, and permissions to grant the above licence and that your User Content does not infringe, misappropriate, or violate any third party’s intellectual property, privacy, or other rights, or any applicable law or regulation;
  3. Acknowledge and agree that Modix is not responsible or liable for any User Content and has no obligation to monitor, review, or remove any User Content, but reserves the right to do so at its sole discretion;
  4. Further agree not to submit any User Content that is unlawful, defamatory, obscene, offensive, discriminatory, or otherwise objectionable, or that contains personal data of any individual without having obtained all necessary consents and authorisations as required by law;
  5. Acknowledge that Modix may remove or disable access to any User Content at any time, for any reason, without notice, and at its sole discretion, and that Modix also has the right to disclose your identity to anyone who is claiming that any content posted or uploaded by you to our site violates their intellectual property rights or their right to privacy.
INTELLECTUAL PROPERTY
1. Ownership. All intellectual property rights (including copyrights, patents, trademarks, and trade secrets) in and to the Site and its content (including but not limited to text, graphics, logos, icons, data compilations, and software; but excluding Third Party Content) are owned by Modix and/or its affiliates or its licensors. Except for the limited licence granted in these Terms, nothing in these Terms shall be construed as granting you any right, title, or interest in or to any intellectual property rights of Modix or any third party.
2. Protection of IP. You must not use, copy, reproduce, modify, distribute, display, or create derivative works of any content from the Site without our prior written consent. Any unauthorised use may result in civil and/or criminal liability. You agree to notify Modix immediately if you become aware of any actual or suspected infringement, misappropriation, or unauthorised use of any intellectual property rights in connection with the Site.
3. Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Site (“Feedback”), you agree that Modix may use such Feedback for any purpose without obligation or compensation to you, and you hereby assign all rights in such Feedback to Modix. You agree that you will not submit to us any information or ideas that you consider to be confidential or proprietary. You represent and warrant that you have all rights necessary to submit the Feedback. You further waive any moral rights you may have in such Feedback to the maximum extent permitted by law.
PERSONAL DATA
We will only use your personal information as set out in our Privacy Policy.
THIRD-PARTY LINKS AND SERVICES The Site may contain links to third-party websites or services (“Third-Party Links”). Modix does not control, endorse, or assume any responsibility for any Third-Party Links. We provide access to these Third-Party Links only as a convenience to you, and do not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links. Your use of Third-Party Links is at your own risk and subject to the terms and policies of those third parties. Modix expressly disclaims any liability for any loss or damage arising from your use of or reliance on any Third-Party Links. You are solely responsible for conducting your own due diligence before engaging in any transaction with any third party.
DISCLAIMERS
1. No Warranties. The Site is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Modix expressly disclaims all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Modix does not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components, complete, legal, or safe.
2. No Reliance. You acknowledge that any reliance on the Site or its content is at your own risk. Modix does not warrant the accuracy, completeness, or usefulness of any information on the Site. Modix does not warrant that any data or content obtained through the Site will be accurate, reliable, or suitable for your purposes. You are solely responsible for verifying any information before relying on it.
LIMITATION OF LIABILITY
1. To the maximum extent permitted by law, we shall not be liable to you or any third party for any direct or indirect losses (including loss of profits, loss of business, loss of reputation, loss of savings and loss of opportunity), consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or inability to use, the site, even if we have been advised of the possibility of such damages. Access to, and use of, the Site is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system or loss of data resulting therefrom.
2. You acknowledge and agree that the limitations of liability set out in this Section are fundamental elements of the basis of the bargain between you and Modix.
3. You expressly acknowledge that Modix is not liable for any damages or losses resulting from (a) any unauthorised access to or use of the Site or your data; (b) any interruption or cessation of transmission to or from the Site; (c) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Site by any third party; or (d) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Site.
INDEMNITY
1. You agree to fully indemnify, defend, and hold harmless Modix, its affiliates, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, losses, liabilities, fines, damages, costs, and expenses (including all interest, penalties, and legal fees on a full indemnity basis) arising out of or in connection with:
  1. Your use of or access to the Site;
  2. Your breach of any provision of these Terms;
  3. Any User Content you submit, upload, or transmit through the Site;
  4. Your violation of any applicable law or regulation, including data protection and intellectual property laws;
  5. Any claim that your User Content or use of the Site infringes, misappropriates, or violates the rights of any third party.
2. Modix reserves the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with Modix’s defence of such claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
TERMINATION
1. Subject to this Section, these Terms will remain in full force and effect while you use the Site. Modix may, at its sole discretion and without notice or liability to you, suspend or terminate your access to the Site at any time and for any reason, including if you breach these Terms.
2. Upon termination, all rights granted to you under these Terms will immediately cease, and you must promptly destroy all copies of any content obtained from the Site.
3. The provisions of these Terms which by their nature should survive termination shall survive, including but not limited to Sections 3, 5, 6, 7, 8, 9 and 10.
4. Modix shall not be liable to you or any third party for any termination of your rights under these Terms or for any loss or damage arising from such termination.
DISPUTE RESOLUTION
1. Informal Resolution. In the event of a dispute, claim, or controversy arising out of, relating to and/or in connection with these Terms (including any question regarding its existence, validity or termination), a party shall deliver to the other party a notice of dispute (a “Notice of Dispute”), upon which Parties agree and commit to working with each other to reach a resolution through good faith informal negotiations.
2. Arbitration. If the Dispute is not resolved within 30 days of the Notice of Dispute, the Dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The parties agree that any arbitration commenced pursuant to this clause shall be conducted in accordance with the Expedited Procedure under Rule 14.1 and Schedule 3 of the SIAC Rules. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The law governing this arbitration agreement shall be Singapore law.
GENERAL
1. Modifications. Modix reserves the right to modify, suspend, or discontinue the Site or these Terms at any time. Modix will provide notice of material changes by posting the updated Terms on the Site or by email. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms
2. Electronic Communications. You consent to receive communications from Modix electronically and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
3. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
4. Assignment. You may not assign, transfer, or delegate any rights or obligations under these Terms without Modix’s prior written consent. Modix may freely assign or transfer these Terms.
5. Entire Agreement. These Terms constitute the entire agreement between you and Modix regarding your use of the Site and supersede all prior agreements and understandings.
6. Governing law. These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
7. No waiver. No failure or delay by Modix in exercising any right or remedy under these Terms shall operate as a waiver of such right or remedy.
8. Independent Contractor. You acknowledge that your relationship to Modix is that of an independent contractor, and neither party is an agent or partner of the other.
